Welcome to Sonentra Productions. These Terms of Service ("Terms") govern your access to and use of the Sonentra Productions website, products, services, and all related digital content (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of the Services immediately. Please read this document carefully, as it constitutes a legally binding agreement between you ("User," "Customer," "you," or "your") and Sonentra Productions ("Company," "we," "us," or "our").

These Terms apply to all visitors, users, customers, and any other persons who access or use the Services. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Services after any changes constitutes acceptance of those changes. It is your responsibility to review these Terms periodically for updates.

1. Definitions

"Beat" refers to any musical instrumental composition, track, or audio recording created, produced, or distributed by Sonentra Productions, including but not limited to instrumentals, backing tracks, and musical arrangements.

"License" refers to the specific set of rights, permissions, and restrictions granted to a Customer upon purchase of a Beat or other digital product, as outlined in the applicable License Agreement.

"Exclusive Rights" means the full transfer of ownership of a Beat from Sonentra Productions to the Customer, after which the Beat will be removed from all public catalogs and will no longer be available for licensing by any other party.

"Non-Exclusive License" means a license that permits the Customer to use a Beat under specified conditions, while Sonentra Productions retains the right to license the same Beat to other customers simultaneously.

"Digital Product" refers to any downloadable or streamable content offered through the Services, including but not limited to Beats, music loops, sample packs, one-shots, sound effects, stems, trackouts, and any associated metadata or documentation.

"Content" refers to all text, graphics, images, audio files, video, data, and other material available on or through the Services.

2. Eligibility and Account Registration

To use certain features of the Services, you may be required to create an account or provide personal information. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and make purchases. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian.

When creating an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

We reserve the right to suspend, disable, or terminate any account at our sole discretion, without prior notice, if we believe that you have violated these Terms, engaged in fraudulent activity, or if your account poses a security risk to our platform or other users.

3. Products and Services

3.1 Beat Sales and Licensing

Sonentra Productions offers Beats for sale under various licensing tiers. Each licensing tier has specific terms, conditions, permissions, and limitations. Before purchasing a Beat, you must review the specific License Agreement associated with the licensing tier you are selecting. The License Agreement will detail the permitted uses, distribution limits, streaming caps, file formats included, and whether the license is exclusive or non-exclusive.

All Beat purchases are final upon delivery of the digital files. Sonentra Productions delivers digital products electronically. Once a Beat has been downloaded or made available for download, the sale is considered complete and the license terms take immediate effect.

3.2 Exclusive Beat Purchases

When you purchase Exclusive Rights to a Beat, the Beat will be removed from the Sonentra Productions catalog and will no longer be available for licensing by any other customer. Upon completion of payment and transfer of files, you will receive full ownership of the instrumental, including all stems, trackouts, and associated project files as specified in the Exclusive Rights Agreement.

Please note that any Non-Exclusive Licenses sold prior to your Exclusive Rights purchase will remain valid. Customers who previously purchased Non-Exclusive Licenses for the same Beat retain the rights granted under their respective License Agreements. Sonentra Productions cannot revoke previously issued licenses.

3.3 Music Loops and Sample Packs

Sonentra Productions offers Music Loops and Sample Packs for use in music production. These products are licensed on a royalty-free basis for use in original compositions. You may use purchased Loops and Samples within your own productions, remixes, and creative projects. However, you may not redistribute, resell, or share the raw audio files in their original form as standalone products, sample libraries, or as part of a competing sample pack or loop kit.

The royalty-free license grants you the right to use the sounds in commercial and non-commercial music productions without paying additional royalties. This license does not grant you ownership of the original sound recordings. Sonentra Productions retains all intellectual property rights in the underlying audio content.

3.4 Custom Beat Production

Sonentra Productions may offer custom beat production services. Custom production projects are subject to separate agreements, timelines, and pricing structures that will be communicated and agreed upon prior to commencement of work. Custom projects may require a non-refundable deposit before production begins. The specific terms of each custom production project will be outlined in a separate agreement provided to the customer.

4. Pricing and Payment

All prices displayed on the Sonentra Productions website are in United States Dollars (USD) unless otherwise specified. Prices are subject to change at any time without prior notice. The price in effect at the time of your purchase will be the price charged to your payment method.

We accept various payment methods as displayed at checkout. By providing payment information, you represent and warrant that you are authorized to use the payment method and that all payment information you provide is accurate and complete. You authorize us to charge your payment method for all purchases made through your account.

All transactions are processed through secure third-party payment processors. Sonentra Productions does not store your credit card information on our servers. We are not responsible for any fees, charges, or issues imposed by your bank, payment provider, or financial institution in connection with your purchase.

In the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price. If your order is canceled due to a pricing error, we will provide a full refund to your original payment method.

5. Intellectual Property Rights

All Content available through the Services, including but not limited to Beats, Loops, Sample Packs, website design, text, graphics, logos, icons, audio clips, and software, is the property of Sonentra Productions or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The purchase of a License does not constitute a transfer of copyright ownership unless specifically stated in an Exclusive Rights Agreement. Under Non-Exclusive Licenses, Sonentra Productions retains all copyright and intellectual property rights to the Beat. The License only grants you specific usage rights as detailed in the License Agreement.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Content on our website except as expressly permitted by these Terms or the applicable License Agreement. You may not use any data mining, robots, or similar data gathering and extraction methods on our website. You may not decompile, reverse engineer, or disassemble any software or products on our website.

6. License Restrictions

Regardless of the licensing tier purchased, the following restrictions apply to all licenses unless explicitly waived in writing by Sonentra Productions:

You may not register or claim copyright ownership of any Beat or instrumental in its original form. Copyright registration is only permitted for new, original compositions that incorporate the Beat along with substantial original creative elements (such as lyrics, vocals, additional instrumentation, or arrangement).

You may not use any Beat in a manner that is defamatory, obscene, or that promotes illegal activities, hate speech, violence, or discrimination. Sonentra Productions reserves the right to revoke any license if the Beat is used in a manner that violates this provision.

You may not sublicense, resell, or transfer your License to any third party without prior written consent from Sonentra Productions. Any unauthorized transfer or sublicensing will result in immediate termination of the License.

You may not use any Beat as the basis for a competing product or service, including but not limited to: creating a beat-selling platform, offering the Beat for re-licensing, or using the Beat to produce content for a direct competitor of Sonentra Productions.

7. User Conduct

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the functioning of the Services. You agree not to attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services. You agree not to use any automated means, including bots, scrapers, or spiders, to access the Services for any purpose without our express written permission.

You agree not to upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. You agree not to impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.

8. Disclaimer of Warranties

The Services and all Content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Sonentra Productions disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Sonentra Productions does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that the results obtained from the use of the Services will be accurate or reliable. We do not warrant that the quality of any products, services, information, or other content obtained through the Services will meet your expectations.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Sonentra Productions, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of, or inability to access or use, the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

In no event shall our total liability to you for all claims arising from or relating to the Services exceed the total amount paid by you to Sonentra Productions during the twelve (12) months immediately preceding the event giving rise to such liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sonentra Productions, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your use of any content obtained from the Services, or your violation of any rights of a third party.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the federal or state courts located in Buchanan County, Missouri, and you hereby consent to the personal jurisdiction of such courts.

Before filing any legal claim, you agree to first attempt to resolve any dispute informally by contacting Sonentra Productions. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within this period, either party may proceed with formal legal action as permitted by these Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

13. Entire Agreement

These Terms, together with any applicable License Agreements and our Privacy Policy, constitute the entire agreement between you and Sonentra Productions regarding the use of the Services. These Terms supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties regarding the subject matter hereof.

14. Waiver

The failure of Sonentra Productions to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Sonentra Productions.

15. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Sonentra Productions. Sonentra Productions may assign its rights and obligations under these Terms at any time without notice to you.
